African multi-deal: Fidal Africa advises Air Liquide group on a strategic transaction

Fidal Africa has assisted Air Liquide group in the sale of its subsidiaries in 12 countries on the African continent to  Adenia investment fund

Fidal Africa, represented by Julie CLAUDE, partner, has assisted Air Liquide Group in the sale to Adenia Partners Ltd of its subsidiaries in the following twelve African countries: Benin, Burkina Faso, Cameroon, Congo, Ivory Coast, Gabon, Ghana, Madagascar, Mali, Democratic Republic of Congo, Senegal and Togo. 

The deal is considered  a strategic transaction for Air Liquide, given its historical presence on the continent, and reflects  its policy of regular review its business portfolio. The entities divested in this transaction will form a new independent pan-African industrial and medical gases group. Air Liquide continues to seize development opportunities on the African continent, particularly in the fields of energy transition, hydrogen and health. Adenia, which has been active in Africa for more than 20 years, has already raised $950 million through several funds and plans to invest up to $30 million more to accelerate its development in Africa, particularly through responsible investments. 

Under the direction of Julie CLAUDE, the Fidal Africa team was composed of :

This multi-jurisdictional sale has enabled Fidal Africa to once again demonstrate its ability to mobilize a multidisciplinary team and to manage a complex transaction in all its dimensions (M&A, corporate law, stock exchange, competition, foreign investments, social law, regulatory, environment, land, real estate, urban planning, local content obligations in the mining, hydrocarbons and private sector sectors,  health law, etc.).
